What is asset and company tokenization: a complete guide

Asset tokenization is the representation of rights over an asset (a share, a bond, a fund unit or a property) as tokens recorded on a distributed ledger, where ownership and every transfer are recorded. It creates no new value: it changes how an existing right is recorded, transferred and held, and that is what determines which rules apply.

Foundations of blockchain tokenization

‍

What is tokenization?

‍

Tokenization in the context of blockchain refers to the process of converting rights to an asset or security into a digital token on a blockchain. This process enables greater liquidity, transparency and security in asset transactions.

‍

Tokenization opens up new possibilities for companies, allowing them to divide assets that were previously indivisible and offer them to a wider market.

‍

  • Benefits of tokenization:
  • Increased liquidity
  • Transparency in transactions
  • Improved security
  • Access to a global market

‍

Tokenization changes the way assets are traded and widens access to investments previously reserved for large investors.

‍

How the blockchain works

‍

Blockchain technology operates through a decentralized network of nodes, which work together to validate and record transactions in blocks of data. The blocks are cryptographically linked, forming an uninterrupted and secure chain: the blockchain.

‍

The key to its operation lies in the consensus between the nodes, which ensures the integrity and immutability of the recorded data. It eliminates the need for intermediaries, allowing direct and transparent transactions between parties.

‍

  • Transaction validation: Each transaction is verified by multiple nodes in the network before being added to a block.
  • Block formation: Once validated, the transaction is grouped with others in a new block.
  • Block linking: Each new block is cryptographically linked to the previous one, forming a chain.

Decentralization and security are fundamental pillars of blockchain, offering a new paradigm for managing online data and transactions.

‍

Benefits of Tokenization for Businesses

‍

Tokenization in the business environment offers several advantages that can change the way companies operate and are financed. Greater liquidity for previously illiquid assets is one of the main benefits, making it easier for companies to access capital more efficiently.

‍

  • Increased transparency in transactions, reducing the risk of fraud.
  • Reduced costs associated with financial intermediation.
  • Access to a global market of investors, thus expanding funding opportunities.
  • Automation of processes through smart contracts, which improves operational efficiency.

‍

Tokenization widens access to finance and opens up new avenues for business innovation, allowing companies to explore new business models.

‍

Steps to tokenize a company

‍

Feasibility Assessment

‍

Before embarking on the tokenization process, it is crucial to perform a feasibility assessment to determine whether tokenization is right for your business. This evaluation involves analyzing several key factors that influence the success of the project.

‍

  • Target market: Identify the specific market or sector that will benefit from tokenization.
  • Regulations: Understand the laws and regulations applicable in your jurisdiction.
  • Technology: Evaluate whether the current technological infrastructure can support tokenization.
  • Costs: Estimate the costs associated with the tokenization process

It's essential to consider whether tokenization will bring real value to your company and your customers before proceeding.

‍

Once this preliminary assessment is completed, companies can move with greater confidence toward planning and executing their tokenization strategy. The feasibility assessment ensures alignment with business objectives and minimizes the risks associated with the adoption of new technologies.

‍

Choosing the Right Blockchain Platform

‍

Choosing the right blockchain platform is a critical step in a company's tokenization process. It must align with specific business objectives and technical needs. There are several platforms available, each with its own features, advantages and limitations.

‍

  • Ethereum: Popular for its flexibility and support for smart contracts.
  • Binance Smart Chain: Offers low transaction fees and high speed.
  • Polkadot: Supports interoperability between different blockchains.
  • Solana: Notable for its scalability and speed in confirming transactions.

‍

A thorough analysis of the available options is essential, considering factors such as security, costs, scalability and community support.

The right choice will allow not only an efficient implementation but also simpler and more secure management of tokens and related operations in the future.

‍

Token creation and design

‍

The creation and design of the token is a vital step in a company's tokenization process. This step involves defining the characteristics and functionalities that the token will have within the business ecosystem. It is essential that the token provides real value to users and the company.

‍

  • Token type: Defines whether it will be a utility token, security token, or a hybrid token.
  • Purpose and use: Establishes what the token will be used for within the company.
  • Technical characteristics: It includes aspects such as maximum supply, divisibility, and consensus mechanisms.
  • Applicable regulations: Ensures that the design complies with current regulations.

‍

Involving a multidisciplinary team in the design process is important to ensure that the token meets all technical, legal and market requirements.

‍

Once these aspects have been defined, we proceed to the technical implementation of the token, which requires specific skills in blockchain development. Collaboration with subject matter experts can go a long way in overcoming technical challenges that arise.

‍

After identifying the asset and assessing its legal fit, which are the first two phases, the process continues as follows:

3. Token model design

Technical and economic decisions:

  • How many tokens will be issued?
  • Which blockchain will be used? (Ethereum, Polygon, Avalanche, etc.)
  • What standard? (ERC-20, ERC-3643, ERC-1155...)
  • Will there be liquidity or repurchase?
  • Do you allow peer-to-peer transfers or do you require whitelisting?

4. Technological development

  • Smart contract programming
  • Integration with identity and digital signature systems
  • Control panel for the issuer and investors
  • Smart contract auditing

5. Custody and Governance

  • Who is the custodian of the underlying physical or financial asset?
  • What happens in the event of default, liquidation or sale?
  • How do you vote or make collective decisions?

Key fact:
The European Union's MiCA framework does not cover security tokens. These are still regulated by MiFID II, which implies stricter requirements for their issuance and distribution.

Launch and promotion strategies

‍

Once your company's token has been created and designed, the next key step is the implementation of effective launch and promotion strategies. The success of tokenization depends to a large extent on adoption and recognition by the target market.

  • Identify and segment the target market.
  • Develop a clear and compelling message.
  • Use multiple communication channels (social networks, email, events).
  • Provide incentives for early adopters

‍

It is essential to establish clear success metrics and to constantly monitor the performance of promotion campaigns to adjust strategies as needed.

‍

The correct implementation of these strategies will not only increase the visibility of your token, but will also foster a strong and committed community around your project.

‍

‍

Regulations and Legal Compliance

‍

Navigating the complex landscape of regulations and legal compliance is critical for any company looking to tokenize. Laws vary significantly from country to country, which can complicate the launch of tokens globally.

‍

Understanding the specific regulations of each jurisdiction is important to avoid sanctions and ensure the legality of operations.

Here are some key things to consider:

  • Identification of the laws applicable in each target market.
  • Obtaining the necessary licenses and permits.
  • Ensuring transparency and compliance with consumer protection regulations.
  • Implementation of security and data privacy measures in accordance with local laws.
  • ‍

Collaboration with legal experts specialized in blockchain and cryptocurrency is often an essential step in successfully navigating this complex environment.

‍

Risk and security management

‍

Managing risks and security in business tokenization is a critical aspect that requires meticulous planning and execution. Identifying and mitigating the risks associated with tokenization is essential to protect both the company and its investors.

  • Risk Assessment: Identify potential risks at each stage of the tokenization process.
  • Security Measures: Implement robust security measures, including data encryption and two-factor authentication.
  • Constant monitoring: Establish real-time monitoring systems to detect and respond to security threats in a timely manner.

‍

Having a specialized information security team to monitor is crucial for the implementation of security measures and risk management throughout the tokenization process.

‍

Ethical and Privacy Considerations

‍

The tokenization of companies on blockchain raises important ethical and privacy considerations that must be carefully addressed. The protection of personal data becomes a critical aspect, especially in jurisdictions with strict regulations such as the GDPR in Europe.

  • Respect for user privacy
  • Transparency in the use of data
  • Informed consent to the collection and use of information

‍

Implementing ethical practices and complying with privacy laws are not only legal obligations, but also essential components of earning and maintaining user trust.

‍

It is essential that companies that seek to tokenize themselves carry out regular privacy and ethics audits, adapting their policies and practices to changing regulations and user expectations.

Tokenization in Latin America: examples with an official registry

Latin America has no common framework: each country decides whether tokenization has its own regime and which public registry shows who is authorized. These five cases can be checked against the official source as of October 13, 2026.

  • Argentina (CNV). The National Securities Commission created a tokenization regime in Title XXII of its Rules with General Resolution 1069/2025. Following General Resolution 1150/2026, the regime admits, among others, shares, corporate bonds (obligaciones negociables), CEDEARs, financial trust securities and closed-end fund units, including those issued under automatic authorization (Title XXII, Chapter I, art. 1), in a sandbox that runs until December 31, 2027 (art. 38). Only virtual asset service providers (PSAVs) registered in every category may take part (art. 14): the CNV PSAV registry lists 81 registered providers as of October 13, 2026, 34 of them in all five categories.
  • El Salvador (CNAD). The Digital Asset Issuance Law (Legislative Decree 643, published on January 24, 2023) created the National Digital Assets Commission (art. 6). The Commission authorizes public offerings of digital assets, an authorized issuer joins its registry of issuers (art. 23), and service providers may only operate if they are registered with it (art. 18); registered entities are listed in its public registry. To tokenize a property, the CNAD regulation on the registry of issuers requires a company that owns the property, the property to be registered and free of liens, and a trust with a bank authorized by the Superintendency of the Financial System or, if the property is abroad, with a bank in that jurisdiction (annex E).
  • Brazil (CVM). CVM Resolution 88/2022 governs investment crowdfunding, with a cap of 15 million reais a year per issuer (art. 3(I) and §3). In Circular Letter 4/2023/CVM/SSE (April 4, 2023), the CVM technical staff, in guidance that is not a rule, accepted that securitization notes issued by privately held securitization companies may be tokenized and offered, up to 15 million reais, on platforms registered under Resolution 88 (paragraphs 33 and 34). In 2025 there were 69 platforms, which closed 861 offerings for 3.9 billion reais, according to CVM Economic Bulletin 108.
  • Mexico (CNBV and Bank of Mexico). There is no tokenization regime: the Securities Market Law does not mention distributed ledgers, the Fintech Law only admits the virtual assets the Bank of Mexico determines (art. 30), and its Circular 4/2019 limits fintech institutions to internal operations (provision 3) and only admits as virtual assets units that do not represent ownership of an underlying asset, or that represent it for less than its value (provision 4(I)). Crowdfunding of projects (debt, equity or co-ownership) is reserved to crowdfunding institutions (IFCs) authorized by the CNBV (Fintech Law, arts. 15 and 16): the CNBV register lists 26 as of October 13, 2026.
  • Chile (CMF). The Fintec Law (Law 21.521) regulates services, not issuance: as a general rule, anyone providing services in Chile such as a crowdfunding platform or an alternative trading system must register in the Registry of Financial Service Providers and obtain CMF authorization (arts. 5 and 7). In Official Letter 76656 (April 27, 2026), the CMF found that a website that lets users trade tokens of rental real estate projects provides at least those two services. As of October 13, 2026, the CMF Registry of Financial Service Providers lists no authorized crowdfunding platform.

All 20 countries, with their law and regulator, are on the map of asset tokenization in Latin America.
