White label tokenization platform
A white label tokenization platform is software for issuing and managing tokenized assets under the client's own brand and domain. Unknown Gravity deploys and customizes it for issuers in the EU, the US and Latin America; the regulated roles stay with the issuer's counsel and intermediaries.
In practice, a white label platform bundles investor onboarding with KYC/AML, the token and its transfer rules, the holder register and the issuer dashboard, all under your own brand and domain. Unknown Gravity deploys it, adapts it to your asset and connects it to the regulated parties your offering needs, whether you issue in the European Union, the United States or Latin America.
The platform supplies the controls. The legal analysis, the offering route and the regulated roles stay with your counsel and your intermediaries: we are not a broker-dealer, funding portal, transfer agent, ERIR, investment firm, crypto-asset service provider (CASP) or law firm.
01 / What the white label tokenization platform includes
The platform covers the whole life of a tokenized issuance: investor onboarding, issuance, the holder register, transfers and the issuer's day-to-day operations. Each module is configured for the asset, the offering and the market, and the platform runs under your brand and domain.
| Module | What it does | Who remains responsible |
|---|---|---|
| Issuance | Deploys the token's smart contracts and mints, burns or pauses the token according to the terms of the offering | The issuer, which sets those terms with its counsel |
| Investor onboarding (KYC/AML) | Integrates the identity verification and AML screening provider you choose. Approved investors receive on-chain eligibility attestations signed by trusted claim issuers | The entity legally obliged to identify investors in each market |
| Transfer restrictions | Checks every transfer against the investor's identity and the rules of the offering, for example country, investor type or holding periods. A transfer that breaks a rule fails, and it can be pre-checked before it is sent | The rules come from the offering documents and your counsel |
| Holder register | Records holders and balances on-chain and connects that record to the official register | The ERIR in Spain; the issuer or its transfer agent in the United States |
| Issuer dashboard | Approves investors, manages supply and runs the agent actions of the standard: freezing tokens, forced transfers and recovering tokens for an investor who loses access to their wallet | The issuer or the agent it appoints |
| Payments and wallets | Traditional payment gateways and crypto payments; standard wallets and "invisible wallets" that let investors sign in with email and password or a social login | The payment and custody providers integrated in each project |
| Integrations | Connects the platform to regulated custodians, transfer agents and ERIRs, broker-dealers and ATSs, funding portals and DLT market infrastructures | Each regulated party, within its own authorization |
It runs on Ethereum and other EVM networks such as Polygon, Arbitrum or BNB Smart Chain. For securities we use the ERC-3643 standard for permissioned tokens: it is ERC-20 compatible, works with an on-chain identity system and runs a compliance check on every transfer (EIP-3643, final status).
02 / Who it is for: issuers and platforms in the EU, the US and Latin America
It is for organizations that want their own tokenization platform without building one from scratch. The most common profiles:
- Real estate developers and sponsors that issue shares, membership interests or debt of the vehicle that owns each property.
- Asset managers and fund sponsors that want to represent fund units or private credit on-chain.
- Companies issuing debt or equity to a defined group of investors, with the transfer rules built into the token.
- Investment firms, broker-dealers, banks, funding portals and crowdfunding platforms that want to offer tokenized products to their own clients under their brand.
- Energy and infrastructure projects financed with tokenized debt or equity of the project company.
White label, custom build or tokenization as a service? These are the three ways to get there:
| White label platform | Custom build | Tokenization as a service (SaaS) | |
|---|---|---|---|
| Brand and domain | Yours | Yours | Depends on the provider; often shared |
| Starting point | Existing modules, configured and extended | Designed from zero for your process | The provider's standard product |
| Time to technical launch | Shorter: the base already exists | Longer: everything is designed and built | The shortest, within the product's limits |
| Who runs the infrastructure | Agreed in each project | You or your provider | The provider |
| It fits when | You want your own product without a long development | Your asset or process needs logic no platform has | You need a single issuance and accept the provider's brand and rules |
If you need the custom route, see our tokenization platform development service.
03 / How the platform fits each regulatory framework
The platform is the same in every market; what changes is who must take part and which rules the token has to enforce. This is how it fits in each one.
United States
A tokenized security is still a security. In its 2026 interpretation, the SEC states that a digital security is a tokenized security and that recording it on-chain or off-chain does not change its nature (Release 33-11412, a Commission interpretation in effect since March 23, 2026). The platform does not change who must be registered: the issuer works with its securities counsel and its registered intermediaries, and the platform connects to them.
- Offering. Under Reg D Rule 506(c), general solicitation is allowed if every purchaser is an accredited investor and the issuer takes reasonable steps to verify that status (17 CFR 230.506(c)); the platform integrates the verification provider and keeps the records. Reg A+ Tier 2 allows up to $75 million in 12 months (230.251(a)(2)) and Reg CF up to $5 million (227.100(a)(1)). Reg A+ is limited to issuers organized and based in the US or Canada, and Reg CF to issuers organized in the US (230.251(b)(1); 227.100(b)(1)).
- Placement. Finding investors, taking part in negotiations, receiving compensation tied to the transaction or handling other people's funds or securities are signs of broker activity, which requires registration (Exchange Act §15(a); SEC staff Guide to Broker-Dealer Registration). A third party that finds investors for the offering generally must be a registered broker-dealer; in Reg CF, the offering must run through a registered broker or funding portal (17 CFR 227.100(a)(3) and 227.300(a)).
- Register. The issuer or its agent may keep the master securityholder file on one or more blockchains (SEC staff Statement on Tokenized Securities, January 28, 2026, not binding). Whoever acts as transfer agent for securities registered under Section 12 of the Exchange Act, including the issuer itself, must be registered as a transfer agent (§§3(a)(25) and 17A(c)(1)), and Reg A Tier 2 and Reg CF issuers need a registered transfer agent to exclude those holders from the Section 12(g) count (17 CFR 240.12g5-1(a)(7); 240.12g-6). SEC staff accepts that a registered transfer agent may use a blockchain as its official master securityholder file if it meets all its other obligations (Trading and Markets FAQ, Q11, not binding). In September 2026 the SEC proposed new transfer agent rules that would also permit it (Release 34-106246, comments until November 3, 2026): it is a proposal, not a rule.
- Transfers and resale. Securities sold under Reg D Rule 506 are restricted: to resell them under Rule 144, holders must wait 6 months if the issuer has been reporting to the SEC for at least 90 days, or 1 year if not (17 CFR 230.144(a)(3) and (d)(1)), and Reg CF securities cannot be transferred for 1 year except to certain buyers (227.501(a)). The token enforces those periods and investor eligibility. If resale is organized on a trading venue, it is usually an ATS, which must register as a broker-dealer (242.301(b)(1)).
- Outside the US. Regulation S covers offers and sales made outside the United States and requires an offshore transaction with no directed selling efforts in the US (17 CFR 230.901 and 230.903(a)). For equity in Category 3, which includes US issuers that do not report to the SEC, the issuer must, among other conditions, refuse to register transfers that do not comply (230.903(b)(3)(iii)(B)). A permissioned token can enforce that refusal on-chain.

European Union and Spain
The first question is whether the token is a financial instrument. MiFID II covers financial instruments issued by means of distributed ledger technology (Directive 2014/65/EU, Art. 4(1)(15), as amended by Regulation (EU) 2022/858, Art. 18), and MiCA does not apply to them (Regulation (EU) 2023/1114, Art. 2(4)(a)). If it is not, it may be a crypto-asset under MiCA, unless another exclusion in Art. 2 applies: for crypto-assets other than asset-referenced and e-money tokens, the offeror to the public must be a legal person and draw up, notify and publish a white paper, subject to the exemptions in paragraphs 2 and 3 (Art. 4).
- Register. In Spain, Law 6/2023 allows transferable securities to be represented on DLT (Art. 6(1)). The issuer drafts an issuance document (Art. 7) and appoints an ERIR, the entity responsible for administering the register, which must be authorized to safekeep and administer financial instruments (Arts. 8(4) and 126(a)). A transfer recorded on the distributed ledger has the same effects as delivering the certificates (Art. 11(1)).
- Offering. Issuing needs no prior administrative authorization (Art. 34(1)), but an offer to the public needs an approved prospectus unless an exemption applies (Art. 35(1); Regulation (EU) 2017/1129). If an offer exempt from the prospectus is advertised to the general public, an entity authorized to provide investment services must validate the information and supervise the marketing (Art. 36(1)), subject to the crowdfunding exception in Art. 36(2).
- Trading. The DLT Pilot Regime allows DLT multilateral trading facilities, DLT settlement systems and systems that combine both (Regulation (EU) 2022/858, Art. 2). On November 26, 2025 the CNMV authorized a DLT trading and settlement system (ESMA list of authorized DLT market infrastructures). When DLT securities are admitted to trading, responsibility for the register shifts to the authorized infrastructure (Law 6/2023, Art. 8(5)).
The platform plugs into the ERIR, the investment firm and, where applicable, the DLT infrastructure. It does not replace any of them.
Latin America
Each country has its own securities rules and supervisor, and several have specific fintech or crowdfunding laws. There we work with the issuer's local legal counsel, who confirms how the token is classified and who must take part, and we adapt the platform's rules to that analysis. See our country-by-country map of asset tokenization in Latin America.
04 / What we do and what we are not
Unknown Gravity is a technology provider: we build, deploy and maintain the platform, the smart contracts and the integrations. We are not a broker-dealer, funding portal, transfer agent, ERIR, investment firm, crypto-asset service provider (CASP), investment adviser or law firm, and we do not give legal or investment advice. Those roles stay with the regulated parties and the advisors you choose:
| Function | EU and Spain | United States | Latin America | What the platform does |
|---|---|---|---|---|
| Legal structure and offering documents | Your legal counsel | Your securities counsel | Your local counsel | Turns the resulting rules into code |
| Official register of holders | The ERIR | The issuer or its transfer agent | As local law provides | On-chain record and integration with the register keeper |
| Finding and placing investors | Investment firm or crowdfunding service provider; for MiCA crypto-assets, a CASP | Broker-dealer or funding portal | Local licensed intermediary | Onboarding flows under your brand |
| Identity checks (KYC/AML) | The obliged entity | Your intermediaries | The local obliged entity | Integrates the verification provider and records eligibility on-chain |
| Secondary trading | DLT market infrastructure | ATS operated by a broker-dealer | Local venue, where one exists | Connects the token to the venue |
| Custody | Authorized custodian | Your custodian | Local custodian | Integrates custody and wallets |
05 / How we deliver your platform, phase by phase
1. Scope with your counsel
We map the asset, the markets, the offering route and the regulated parties involved. The result is the rule set the platform will enforce: who can hold the token, where, for how long and within which limits.
2. Configuration and brand
Brand, domain, languages, investor onboarding flows, payment methods and dashboard roles.
3. Smart contracts and integrations
ERC-3643 contracts and their compliance rules, plus the connections to the KYC/AML provider, the custodian, the register keeper and the placement or trading venue.
4. Testing and audit
A testnet pilot with the issuer's team and an audit of the smart contracts before mainnet.
5. Launch and operation
Mainnet deployment, handover of the dashboard to the issuer and ongoing maintenance. The date of the first issuance depends on the offering documents and on your intermediaries, not only on the technology.
How we work
Unknown Gravity is a Spanish tokenization technology and blockchain infrastructure company. We build the platform, the smart contracts and the integrations, and we work alongside your legal counsel (your US securities counsel in the United States, local counsel in Latin America) and the regulated intermediaries each offering needs: transfer agent, broker-dealer or ATS, funding portal, ERIR or investment firm. We are not any of those entities.

FAQ
Frequently asked questions
Are you a broker-dealer, transfer agent or funding portal?
No. Unknown Gravity is a technology provider. In the United States, a broker must register with the SEC unless an exemption applies (Exchange Act §15(a)), a funding portal registers on Form Funding Portal and must be a member of a national securities association (17 CFR 227.400 and 227.300(a)), and a transfer agent registers on Form TA-1 (Rule 17Ac2-1). In Spain we are not an ERIR or an investment firm either. The platform connects to the firms that hold those registrations, and each one keeps its own responsibilities.
Can issuers in Latin America or the United States use the platform?
Yes. In Latin America, with the issuer's local counsel, who confirms how the token is classified and which intermediaries must take part; we adapt the platform's rules to that analysis. In the United States, with the issuer's US securities counsel and registered intermediaries. In a Reg D Rule 506(c) offering, the issuer must take reasonable steps to verify that every purchaser is accredited (17 CFR 230.506(c)(2)(ii)); the platform integrates the verification provider and keeps the records. SEC staff has also said that, under the minimum-investment method of its March 2025 no-action letter, investors can give their representations through a digital attestation within the tokenized security, as long as the issuer keeps records (C&DI 260.40, July 21, 2026, staff guidance, not binding). Issuers outside the US can use the platform too, but Reg A+ only admits issuers organized and based in the US or Canada and Reg CF only US issuers (230.251(b)(1); 227.100(b)(1)), so they choose the route with their US counsel.
Which token standard and blockchains does the platform use?
For securities, ERC-3643 (T-REX), a final Ethereum standard for permissioned tokens. It is ERC-20 compatible, works with an on-chain identity system and checks every transfer against compliance rules. It also lets the issuer's agent freeze tokens, force transfers and recover tokens when an investor loses access to their private key (EIP-3643). The platform runs on Ethereum and other EVM networks such as Polygon, Arbitrum or BNB Smart Chain.
