Asset tokenization in Honduras: the CNBS ban, the Próspera ZEDE and how to structure from abroad

Honduras is today one of the hardest countries in the region to tokenize in: there is no virtual-asset regime, and since February 2024 the National Banking and Insurance Commission (CNBS) has barred banks and other supervised entities from holding, investing in or dealing with crypto-assets and tokens. The Próspera ZEDE, once pitched as the alternative, has had its legal basis struck down.

The framework: the CNBS and the Securities Market Law

The CNBS supervises the securities market under the Securities Market Law (Decree 8-2001). Its Circular 003/2024 acknowledges there is no crypto-asset regulation and bars supervised institutions from dealing with cryptocurrencies, virtual currencies or tokens not issued or authorised by the Central Bank of Honduras, and from letting their users do so through their platforms. The CNBS clarified that the ban does not reach individuals. There is no registration or licence for virtual asset service providers either.

Próspera and the ZEDEs

Congress repealed the law on Employment and Economic Development Zones in April 2022, and the Supreme Court declared its decrees unconstitutional in September 2024, with retroactive effect. Próspera still operates de facto and is pursuing an ICSID arbitration for around 10.775 billion dollars, with no award as of October 2026; Honduras rejoined the ICSID Convention in August 2026. For a regulated issuer it is not a legal basis to rely on.

The vehicle: the bank trust

The Commercial Code trust can only be administered by an authorised bank, and banks fall within the CNBS ban. That closes the local trust route for a tokenized issuance.

What can be done

The realistic route is to structure outside Honduras: a vehicle in a jurisdiction with a clear regime — Spain, El Salvador, Panama or Uruguay, depending on the investor — with the Honduran asset as the underlying where appropriate, offering to non-resident investors from there. That jurisdiction comparison is the first step of any tokenization project we take on.
