# Transfer agent

**A transfer agent is the entity that, on behalf of an issuer, keeps the record of who holds its securities and records their transfers. U.S. law defines it by five functions: countersigning securities upon issuance, monitoring the issuance of securities to prevent unauthorized issuance, registering transfers, exchanging or converting securities, and transferring record ownership by bookkeeping entry without issuing certificates (Exchange Act §3(a)(25), 15 U.S.C. 78c(a)(25)).** These functions can be performed by the issuer itself or by an entity it hires.

**When it must register.** Registration is required for anyone performing any of those functions for securities registered under Section 12 of the Exchange Act, or that would be required to be registered but for certain exemptions (§17A(c)(1), 15 U.S.C. 78q-1(c)(1)). SEC staff confirm it: an entity that does not provide services for Section 12 securities does not have to register (Trading and Markets FAQ on crypto assets and DLT, question 10; non-binding staff view). There is a practical nuance: in Reg A Tier 2 and [Regulation Crowdfunding](/en/glosario/regulation-crowdfunding), for holders not to count toward the Section 12(g) registration threshold, the issuer must, among other conditions, have engaged a registered transfer agent (17 CFR 240.12g5-1(a)(7) and 240.12g-6(a)(3)).

**How it registers and what it must do.** The application is filed on Form TA-1 through EDGAR and becomes effective on the thirtieth day after filing, unless the SEC accelerates, denies or postpones it; information that becomes inaccurate or incomplete must be corrected within 60 days (17 CFR 240.17Ac2-1). A transfer agent that is a bank registers with its federal banking regulator. Once registered, it must turn around within 3 business days at least 90% of the routine items it receives each month (240.17Ad-2(a)), post them promptly to the master securityholder file, generally within 5 business days (240.17Ad-10(a)), safeguard the securities and funds in its custody (240.17Ad-12), and file Form TA-2 every year by March 31 (240.17Ac2-2).

**What it does in a tokenized offering.**

- **Keeps the holder record.** The SEC staff statement on tokenized securities of January 28, 2026 describes two issuer models: either the master securityholder file is kept on a blockchain and transferring the token transfers the security, or the file stays off-chain and the token transfer serves as notice to record the change of ownership. According to the FAQ (question 11), a registered transfer agent may use a blockchain as its official master securityholder file, or a component of it, without an off-chain duplicate, if it complies with the recordkeeping, turnaround and safeguarding rules; personal data can stay off-chain. Neither text is binding.
- **Controls who can receive the security.** The SEC's 2026 proposal cites, as an example, an entity that registers as a transfer agent because it performs wallet whitelisting, that is, checking that an address meets the requirements to hold the tokenized security.
- **Recovers and corrects.** If an investor loses their keys, the transfer agent's record makes it possible to cancel the lost tokens and issue new ones to a new verified wallet; this is how the 2023 Form 10 of NRI Real Token described it, whose registered transfer agent was LedgerLab LLC. The [ERC-3643](/en/glosario/erc-3643) standard, for example, defines an agent role that can force transfers (forcedTransfer) and recover tokens from a lost wallet (recoveryAddress).

**Reform underway (proposal, not in force).** On September 4, 2026, the SEC published a proposal to modernize the transfer agent rules (Release 34-106246, 91 FR 56946), with comments due by November 3, 2026. It would amend Forms TA-1 and TA-2 and several 17Ad rules, rescind Rule 17Ad-4, and add a compliance rule (17ad-30) and a restrictive legends rule (17ad-31). The new master securityholder file definition would permit, but not mandate, the use of a blockchain, and Form TA-2 would ask for the number of issues kept on DLT and by tokenization model. Until it is adopted, the current rules apply.

**Functional equivalent in Spain.** For securities represented through distributed ledger technology, the issuer must appoint in the issuance document one or more entities responsible for administering their entry and registration ([ERIR](/en/glosario/erir-entidad-de-registro-e-identificacion-registral)). They manage the identification of holders and the corporate events, entries and encumbrances affecting the issue. Under the law, they may be the issuer itself or one or more entities it designates, but in all cases they must be authorized for the custody and administration service in Article 126(a) of the same law (Article 8.4 of Spanish Law 6/2023). If the securities are admitted to trading on a market infrastructure authorized by the CNMV under EU law, that responsibility falls on the infrastructure (Article 8.5). The function is similar, but they are not the same figure: the law, the supervisor and the requirements differ. For example, in Spain every issue of DLT securities needs an ERIR, while in the U.S. transfer agent registration depends on whether the securities are Section 12 securities.

**Why the technology provider does not do it.** The smart contract executes the transfer, but recording who the holder is, registering transfers and reissuing securities are §3(a)(25) functions. If a technology provider took them on for an issuer of Section 12 securities, it would have to register as a transfer agent. Other figures in a U.S. offering are regulated intermediaries too: the [broker-dealer](/en/glosario/broker-dealer), the [ATS](/en/glosario/alternative-trading-system-ats) and the [funding portal](/en/glosario/funding-portal).
