# Asset tokenization in Venezuela: a crypto framework on hold, SUNAVAL and how to structure under uncertainty

**Venezuela was among the first countries to regulate crypto-assets and is today among the most uncertain: Sunacrip has been under intervention since 2023 and the 2018 framework exists more on paper than in practice.** At the same time, stablecoin use is among the highest in the world and there are real assets — real estate, agriculture, energy — hungry for financing. Tokenization there is an exercise in structuring under uncertainty.

## The framework: an intervened Sunacrip and SUNAVAL

The 2018 Constituent Decree created a comprehensive crypto-asset regime under **Sunacrip**; in 2023 the superintendence was intervened and restructured, and since then the authorised operations of local exchanges and providers have been suspended or very limited. Securities remain under **SUNAVAL** and the Securities Market Law. The honest thing is to say it: there is today no predictable local route to issue tokens with full legal certainty.

## The vehicle: the trust and structures outside the country

Venezuela has had a trust law since 1956 and bank trustees; the local variant of the Latin American [fideicomiso](/en/glosario/fideicomiso) exists. In practice, projects seeking Venezuelan or diaspora investors structure the vehicle in jurisdictions with a framework (Spain, Panama, Uruguay, El Salvador) and connect the Venezuelan asset or cash flow through contracts and guarantees — with local counsel and a serious sanctions and compliance analysis.

## What is being tokenized

Almost nothing in a regulated way inside the country; quite a lot from outside: rental income, diaspora assets and agricultural and energy projects seeking international capital. The reading for an issuer: small-ticket and digital-dollar investor demand is real; the vehicle and the regulator have to be where there is a framework.
